Final Business, Nonprofit Filing Deadline Approaching
Some foreign and domestic business entities have yet to file annual and biennial reports with the Nebraska Secretary of State’s Office. Secretary Bob Evnen says if action isn’t taken immediately, the businesses will be administratively dissolved.
The final day to file in person at the Secretary of State’s Office is Friday, June 16, 2023.
Online filing will close at 11:59 p.m. Central Time on Monday, June 19, 2023.
With the deadline less than two weeks away, the Secretary of State’s Office encourages delinquent entities to file online at:sos.nebraska.gov/report.
Approximately 26,350 entities missed the initial filing deadline on April 1, 2023.
Of those entities affected:
- 24,267 are limited liability companies (LLCs)
- 2,040 are nonprofit corporations
- 35 are limited liability partnerships (LLPs)
Domestic entities that fail to file face administrative dissolution. Foreign entities could have their authority to do business revoked.
At the beginning of this year, the Nebraska Secretary of State’s Business Services Division mailed 141,139 filing notices to business entities registered in the state. Additionally, the office sent reminders to entities that missed the April 1 deadline.
If entities do not file but wish to remain in good standing, they will be required to reinstate or refile. They will be assessed a reinstatement fee in addition to any payments that are past due.
